Council Code of Conduct

As a council member in ParagonsDAO, it's important to uphold high ethical standards and ensure that your actions align with the principles of the community.

1. Transparency:

Be open and honest about your actions and intentions. Disclose any conflicts of interest that may arise.

1. Accountability:

Take responsibility for your actions and decisions, and be willing to accept feedback and criticism from the community.

1. Respect:

Treat others with respect and dignity, regardless of their position, status, or background.

1. Fairness:

Be fair and impartial in your decision-making process, and avoid any actions that could be perceived as biased.

1. Confidentiality:

Respect the privacy of others and maintain the confidentiality of sensitive information.

1. Integrity:

Act with integrity and adhere to high ethical standards at all times.

Responsibilities:

Attendance:

It is expected that you attend all council meetings and participate actively in discussions and decision-making processes.

In the event that you are unable to attend a meeting, you should notify the council and provide a valid reason for your absence.

Failure to attend meetings without prior notice may result in disciplinary action, including removal from the council.

Voting:

Voting is one of the most fundamental responsibilities of the role of the council member. It is expected that you exercise your knowledge and experience in guiding the DAO through the decisions put forward to the council.

Multisig:

Multisigs enable decentralization by allowing multiple parties to hold keys to a wallet or smart contract, making it more difficult for any single entity to control the funds or make unilateral decisions.

It enables collective decision-making and ensures that all stakeholders have a say in the management of the DAO.

This makes this participation another fundamental responsibility of the council member. Failure to participate in multisigs without prior notice may result in disciplinary action, including removal from the council.

Removing a Council Member

The decision to remove a council member should only be taken in exceptional circumstances where their behavior or actions are deemed to be detrimental to the council.

Grounds for Removal:

A council member may be removed for reasons such as violating the code of conduct, engaging in unethical behavior, or failing to fulfil their duties and responsibilities as a council member.

Investigation:

Before any action is taken, an investigation - by a Core Contributor or someone unanimously voted by the council, minus the individual in question - should be conducted to determine the validity of the allegations against the council member.

Notice and Hearing:

The council member should be notified of the allegations against them and given an opportunity to respond. A hearing should be held to allow both parties to present their arguments and evidence.

Decision:

Following the hearing, the council should deliberate and decide whether to remove the member. A vote should be taken, and a unanimous (minus the council member being reviewed) is required for removal.

Remuneration:

Remuneration will be paid pro-rata, unless it is a case of misconduct which would be evaluated on a case by case scenario.

Replacement:

If a council member is removed, the next “runner-up” from the previous election should be invited to the council.

If there is no “runner-up”, or such person is unavailable, the council may:

a) run a by-election to fill the empty seat

b) invite a Core Contributor to take that seat for the remainder of the period
